1. Agreement to Terms
By accessing or using the Rapid North website and services, you agree to be bound by these Terms of Service. If you do not agree, you may not access or use our services. These terms apply to all visitors, users, and clients of Rapid North.
2. Services
Rapid North provides SaaS growth marketing services including but not limited to SEO, content strategy, paid media management, conversion rate optimization, lifecycle marketing, and revenue operations consulting. The specific scope of services will be defined in individual service agreements between Rapid North and each client.
3. Client Obligations
Clients agree to provide timely access to necessary accounts, platforms, and data required for service delivery. Clients are responsible for maintaining the accuracy of information provided and for ensuring that access credentials are kept secure.
4. Intellectual Property
All content, designs, strategies, and deliverables created by Rapid North remain the intellectual property of Rapid North until full payment is received. Upon full payment, clients receive a non-exclusive license to use deliverables for their business purposes. Rapid North retains the right to showcase anonymized results and methodologies in its portfolio and marketing materials.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business data, marketing strategies, financial information, and any other information marked as confidential. This obligation survives the termination of any agreement.
6. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due within 14 days of issue. Late payments may incur a fee of 1.5% per month on the outstanding balance. Rapid North reserves the right to suspend services for accounts more than 30 days overdue.
7. Limitation of Liability
Rapid North provides growth marketing services on a best-efforts basis. While we strive for measurable outcomes, we do not guarantee specific results including rankings, traffic volumes, conversion rates, or revenue targets. Our total liability shall not exceed the fees paid by the client in the three months preceding any claim.
8. Termination
Either party may terminate a service agreement with 30 days written notice. Upon termination, the client is responsible for payment of all services rendered through the termination date. Rapid North will provide reasonable transition support and deliver any completed work product.
9. Website Use
You may use this website for lawful purposes only. You agree not to engage in any activity that interferes with the proper functioning of the website, attempt to gain unauthorized access to any systems, or use automated tools to scrape or collect data from the website without express permission.
10. Modifications
Rapid North reserves the right to modify these terms at any time. Material changes will be communicated to active clients via email. Continued use of our services after modifications constitutes acceptance of the updated terms.
11. Governing Law
These terms are governed by and construed in accordance with the laws of the applicable jurisdiction. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation before pursuing formal legal proceedings.
